1. Applicability and Interpretation

1.1 Applicability. This Product Schedule forms part of the HeliumOS Terms and Conditions posted at helium.com/legal/heliumos (the “Terms”).

1.2 Definitions. Capitalized terms used but not defined in this Product Schedule have the meanings given in the Terms.

"Premium Support Addendum" has the meaning given in the Terms, and "Downtime" has the meaning given in the Premium Support Addendum.

1.3 Version and Updates. Nova Labs may update this Product Schedule under Section 19 of the Terms.

1.4 Precedence. If this Product Schedule conflicts with the Terms with respect to WOX, this Product Schedule controls, subject to Section 2.4 of the Terms.

2. Service Description

2.1 Overview. WOX is a cloud-hosted decision layer for Wi-Fi offload. The WOX Gateway operates as a RADIUS proxy (including support for RADIUS Change of Authorization (CoA) and, where supported, RadSec) between Customer Systems (such as Wi-Fi access points and wireless controllers) and the authentication, authorization, and accounting (AAA) servers designated by Customer or its carrier partners. For each authentication request, WOX evaluates available signal-quality, network, and load data against the policies and key performance indicators (“KPIs”) configured by Customer, and either passes the request through for authentication or declines it.

2.2 Dashboards and Reports. WOX includes web dashboards and reports derived from RADIUS showing session, quality, usage, and load data, which may be viewed and aggregated across Venues, access points, time periods, carriers, and other dimensions as configured by Nova Labs or Customer.

2.3 Supported Integrations. WOX operates on session quality and load data from various systems. Integration to support the delivery of that data can include the Customer Systems, controller types, and AAA configurations identified in the Documentation or the Order Form. Integration with other systems requires an SOW.

2.4 Scope of Traffic. WOX is designed for carrier Wi-Fi offload traffic, including Passpoint (Hotspot 2.0) authentication. Customer shall not route authentication for enterprise, guest, or other non-offload SSIDs through WOX unless the Order Form expressly permits it.

2.5 Exclusions. WOX does not include access to the Helium Network, which is available only through Helium Network Integration under an Order Form or under a separate Network Agreement. WOX does not include carrier agreements, Passpoint credentials or certificates issued by third parties, or Customer Systems, all of which are Third-Party Services.

2.6 Website Descriptions. Marketing materials and website descriptions of WOX are not warranties or specifications. The Documentation and this Product Schedule govern.

3. Customer Responsibilities

In addition to Customer’s obligations under Section 6 of the Terms, Customer shall, with respect to WOX: (a) configure RADIUS and, where applicable, RadSec peering, shared secrets, certificates, IP allow-lists, and network reachability between Customer Systems and the WOX Gateway in accordance with the Documentation; (b) maintain its relationships with carriers and AAA providers and obtain any carrier approvals required for Passpoint offload at each Venue; (c) configure and maintain the policies, KPIs, and thresholds applied by WOX, and test configuration changes before production use (see Section 6.4 of the Terms); (d) provide Nova Labs with read access to the data sources described in Section 5.1 that Customer elects to integrate, and obtain all rights and consents from the owners and operators of those systems, including Venue Owners, carriers, neutral hosts, and distributed antenna system operators (see Section 6.2 of the Terms); and (e) keep its Venue list current under Section 4.5 of the Terms.

4. Usage Metric: Daily Active Users

4.1 Definition. The Usage Metric for WOX is Daily Active Users (“DAU”). A “DAU” is each unique End User device, identified by the RADIUS Calling-Station-ID or Chargeable-User-ID or other device or subscriber identifier specified in the Documentation, for which WOX approves at least one authentication request on a given day (UTC). Billable DAU for a calendar month is the average of the daily DAU counts for that month, rounded to the nearest whole number.

4.2 Counting. Each device counts once per day regardless of the number of sessions, Venues, or access points it uses that day, across all Venues under the same Order Form. Declined authentication requests and requests from test or monitoring devices designated by Nova Labs do not count toward DAU.

4.3 Measurement. Nova Labs measures DAU from WOX authentication logs. Nova Labs shall make DAU counts available by Venue in the WOX dashboard or monthly usage report, in accordance with Sections 4.5 and 8.2 of the Terms.

4.4 Disputes. Disputes regarding DAU counts are governed by Section 8.6 of the Terms. On request, Nova Labs shall provide reasonable supporting data, which may be pseudonymized.

5. Data

5.1 Data Sources and Categories. To provide WOX, Nova Labs collects and processes the following Customer Data from Customer Systems that Customer integrates: (a) RADIUS authentication and accounting attributes, including usernames, which may include international mobile subscriber identities (IMSIs) or other carrier subscriber identifiers; (b) device identifiers such as MAC addresses; (c) location data at the Venue and access-point level; and (d) session, usage, signal-quality, and load data from access points, Wi-Fi controllers, distributed antenna system (DAS) controllers, DAS eNodeBs and gNodeBs, radio access network (RAN) element management systems, and RAN controllers. If Customer Systems transmit an IMSI or other carrier subscriber identifier in unencrypted form, Nova Labs processes that identifier to evaluate and pass the authentication request and records it in WOX authentication logs.

5.2 Purposes. Nova Labs processes this Customer Data only for: (a) evaluating and enforcing Customer’s configured policies on authentication requests; (b) dashboards, reporting, and trend analysis for Customer; (c) troubleshooting and support; (d) measuring DAU; (e) securing and maintaining WOX; and (f) creating Aggregated Data for use under Section 10.3 of the Terms, in each case subject to Section 10.2 of the Terms and the DPA.

5.3 No Health Information. WOX is not designed to process protected health information. Customer shall not configure WOX to collect health information, and no business associate agreement applies unless the Parties execute one.

5.4 Retention. Nova Labs retains WOX Customer Data for up to twelve (12) months from collection, after which it is deleted or converted into Aggregated Data, unless the Order Form states a different period. Notwithstanding the foregoing, Nova Labs purges IMSIs and other carrier subscriber identifiers from WOX authentication logs within ninety (90) days after collection. Section 10.9 of the Terms governs return and deletion at termination or expiration.

5.5 No On-Chain Recording. Nova Labs does not record WOX Customer Data on any blockchain and does not share WOX Customer Data with the Helium Network or Access Point Operators. 

5.6 Carrier Data. To the extent Customer Data includes CPNI or other subscriber data disclosed by a carrier, Customer shall notify Nova Labs in writing of any carrier-imposed handling requirements, and Nova Labs shall comply with requirements that are reasonable and consistent with the Agreement.

6. Authentication Path

6.1 Operation. WOX operates in the authentication path for Wi-Fi offload connections and is designed to fail closed, as described in Section 6.5 of the Terms. If WOX is unavailable or cannot process an authentication request, the request will not be approved through WOX, and affected devices will continue to use the cellular or other network they would use in the absence of WOX. WOX does not restrict or replace a device’s access to any cellular network.

6.2 Redundancy. Customer’s obligations under Section 6.5 of the Terms apply at each Venue at which WOX is deployed.

6.3 Venue Agreements. Customer shall include in each Venue Agreement the acknowledgment required by Section 4.3(c) of the Terms.

7. Support for WOX

Service levels for WOX are available only under a Premium Support Addendum. This Section 7 sets out how WOX issues are classified for support purposes.

7.1 Service Levels. Downtime, the availability commitment, and service credits for WOX are set out in the Premium Support Addendum.

7.2 Dashboards and APIs. Unavailability of dashboards, reports, or APIs that does not affect authentication processing is not Downtime and is supported as a P2 High issue.

7.3 Exclusions. If Customer purchases Premium Support, then in addition to the exclusions in the Premium Support Addendum, Downtime does not include any period attributable to: (a) failure of Customer’s or a carrier’s AAA servers, Passpoint credentials, or upstream carrier networks; (b) failure of Customer Systems; or (c) any period during which Customer has disabled WOX or routed authentication requests around WOX.

7.4 P1 Critical Issues. For WOX, a failure of WOX that causes WOX to decline or fail to process authentication requests at a single production Venue is a P2 High issue. A failure of WOX affecting all Venues, or 75% or more of authentication requests, is a P1 Critical issue.

8. Disclaimers Specific to WOX

8.1 Nova Labs does not warrant or guarantee: (a) any particular volume of offloaded traffic, data savings, throughput, latency, or end-user experience; (b) acceptance or authentication of any device or subscriber by a carrier or AAA server; (c) the accuracy, completeness, or timeliness of data supplied by Customer Systems or by any carrier, neutral host, or other third party; or (d) the outcome of any policy, KPI, threshold, or rule configured by Customer within WOX.

8.2 Helium Network coverage, availability, and performance, if applicable, are governed solely by Section 5.1 of the Terms and the Helium Network Integration Product Schedule or the applicable Network Agreement, and are not covered by this Product Schedule.

9. Changes to WOX

Nova Labs may update the Documentation and introduce improvements, enhancements, or new features to WOX in accordance with Section 3.7 of the Terms, provided that no update materially reduces the core functionality described in Section 2 of this Product Schedule during the then-current Subscription Term.
