Spiderman. Spiderman would definitely win. I mean, seriously, Spiderman can dodge, flip, swing and leap out of harm's way and has the spider-sense to detect it before it even gets close enough to BE dangerous.
Now, I'm no fan of Batman. Batman isn't a superhero; he's just a well-equipped vigilante. But Spiderman at least has his powers. If Batman pulls a move on ol' Spidey, he can just web him up and hang him off a street lamp in less than a minute.

And what's Batface going to do, hmmm? Throw his Batmeringue (yes, I said meringue as in that wierd sugary stuff that I've never really paid much attention to) at him? Tie him up with his Batbolas? Look at him scarily? If Batman uses a ranged attack on Spiderman, he can simply dodge it, and any close-quarters attack he made would...well, actually he wouldn't even get that close, thanks to Spidey's spider-sense, as well as his uncanny speed and razor sharp wit.
Does Batman have wit? Nooooo.
Batman would definitely get hammered if he and Spiderman got into a fight.
But what's thepoin of the topic anyway? Batman is DC and Spiderman is Marvel...Two different universes, two different companies, so the idea is sort of void.
Spidey wins.
Don't forget it.
Batman sucks.
