This is a difficult one. Both are moral men, so for a fight to ensue there would have to be some pretty drastic circumstances. Let's assume that such a situation did arise and that the two were to find themselves on opposite sides of a battle, I think that the key factor in a victor would have to be preparation.

Should the fight take place suddenly out of nowhere I can't help but think Superman would win and win easily, after all Batman is an exceptional man but he is still a man, he doesn't possess any attributes of a fighter that Superman doesn't already have an advantage on. For instance speed, strength, agility and the ability to take punishment, I think it is fair to say that with all of these attributes Superman far out-weighs Batman. On top of this, the Man of Steel can fly, blow freezing air and melt things with laser vision. There really is no contest. It would literally be a matter of grabbing Batman, flying to 2000 feet and dropping him, not even his gliding wings would save him at that height.

Batman's only hope of survival is in the preparation, if given time he could organize for some Kryptonite to be placed within his suit, rendering Superman harmless. He would have to sneak up on Superman though, because the Man of Steel only has to fly out of range and use his laser vision to make Kentucky Fried Batman.

In my opinion, Superman wins every time, and I'm a big Batman fan so there is no bias going on here. This fight is purely hypothetical though because let's face it there is only so far Superman would go and I can't see him ruthlessly pursuing the Dark Knight with the aim of cooking him, so I have to say Batman still stands a slight chance.
