Superman has many powers: flight, super-speed, heat vision, super strength, invulnerability, so in a straight up contest between the Dark Knight and the Boy Scout, of course Superman would win, but Batman would never allow a straight up fight.
Also, Superman has been raised by loving parents to respect humans, as well as to protect them; Batman watched his parents die and was raised by a kindly butler.
Batman has no super powers. He is an extremely intelligent man with lots of money and other resources. He has to rely on his brain and his gadgets to get the job done. This forces him to plan, and have back-ups for those plane, and have contingencies for the back-ups. Batman is smarter than Superman, and is a brilliant tactician. He also has access to the one thing that can really hurt Superman: kryptonite.
If they were to fight (which they have in the comics, at least twice) Batman would win because he would have a plan. Superman, while he could defeat Batman in innumerable ways, would not have a plan. He would simply fly in and either try to talk Batman out of fighting, or start swinging. But, Superman would not use his abilities to their fullest extent: Batman is only human, after all, and easily breakable.
Batman, on the other hand, would have no qualms about throwing everything he had at Superman. He knows the Man of Steel can take it, so he would not have to restrain himself. He would shoot Superman with missiles, kryptonite tipped arrows, sonic booms. He might even take Lois Lane hostage just to stack the deck further in his favor. Batman knows what it takes to win, and he is willing to take the necessary steps to achieve victory. Superman is not because he knows that if he does not hold back, people die, and he is no killer.
For further evidence check out Frank Miller's the Dark Knight Returns, and Jeph Loeb and Jim Lee's Hush storyline. Even Mark Millar's Red Son is evidence of Batman's superiority (though Supes wins in that one, but only because Wonder Woman sacrifices herself to save him).
