Spiderman of course. There are plenty of reasons why anyone could go either way, but the truth is that Venom is pure emotion, and when you are too emotional, even if that emotion is vengeance, you can fight as well as if your mind is clear.
Spiderman has the powers, where Venom just has the emotion, Spiderman just has to be able to keep his cool, and not let anything Venom does get to him. If he takes a beating at first, he will be able to stay focused, where as if Venom takes a beating at first, his rage will take over, and he will not be able to fight at all for the rest of the combat.
And of course, Spiderman is the good guy, so Venom would be winning until almost the very end, and then Spiderman would do something fantastic, and Venom would lose, which would only make him angrier and angrier, and then he would stew in a prison because the good guy cannot actually kill the bad guy. Then years later, he would escape and it would all happen again.
