Spiderman and Venom have faced each other numerous times in both the Spiderman comics and cartoons. Venom has lost each time. However, Spiderman's string of victories is to be expected, given the general bias of the writers towards him, forcing them to create scenarios in which he can plausibly beat his enemies, regardless of his probability of beating them in any normal situation. After all, the hero of the story can't die without bringing an end to the story. Thus, Spiderman always ends up beating Venom.
An analysis of their chances for victory in an unbiased battle should start with their attributes. Spiderman's strength and agility were greatly enhanced by the radioactive spider that bit him. In addition, he received his spider-sense, which alerts him to incoming danger. He also possesses great intelligence, which helped him in developing his web fluid. His greatest weakness is his concern for the safety of others, which leads him to defend them at all costs. A secondary weakness is his web fluid, which comes in limited amounts. Forcing him to expend all of his web fluid can severely limit his combat options.
Venom, on the other hand, is a fusion between an alien symbiote and Eddie Brock. Since the symbiote possessed Spiderman before it passed to Brock, it was able to copy Spiderman's powers and improve on them. Venom's strength and agility are superior to Spiderman's. The web fluid that the symbiote creates is stronger than that created by Spiderman. In addition to these advantages, Venom is invisible as far as the spider-sense is concerned because the symbiote learned how to block it. Venom's greatest vulnerability is to sonic vibrations. They disrupt the connection between symbiote and host, leaving both essentially helpless. Venom's driving motivation is to get revenge on Spiderman, which has left him mentally unstable. As a result, he tends to play around with Spiderman rather than going in for a quick victory, which ends up leading to Spiderman figuring out a way to defeat Venom.
After taking into account their respective strengths and weaknesses, it seems most likely that Venom would win in a straight fight against Spiderman. Venom's primary weakness is not easily exploitable under normal circumstances, especially since Spiderman doesn't typically carry a device that emits sonic vibrations. Venom's all-around greater physical abilities give him a vast advantage over Spiderman in hand-to-hand combat. The only advantage Spiderman really has over Venom is his greater intelligence and ability to think on his feet. If Spiderman could drag the fight out long enough to give himself a chance to come up with a strategy to defeat Venom, he might have a slight chance at victory.
However, in real circumstances, the chances of that are slim. Venom's greater physical strength, speed, and agility far outweigh Spiderman's slight intellectual advantage; enabling him to make short work of Spiderman.
